DRAFT — NOT REVIEWED BY COUNSEL. This page is a working draft written to capture the right shape and the specific risks of selling accounting AI tooling to non-accountants. It is not a substitute for a lawyer. Before you take payments, have an attorney licensed in your state review this, and check your state board of accountancy rules on how a licensed CPA may market adjacent products. Delete this box once that's done.

1. Disclaimer

No professional advice

The materials sold on this site — including prompts, skills, workflows, templates, reference files, and documentation (collectively, the "Packs") — are educational and informational tools. They do not constitute tax, legal, accounting, audit, investment, or financial advice, and they are not tailored to your circumstances.

No accountant–client relationship

Purchasing, downloading, or using a Pack does not create an accountant–client, attorney–client, or fiduciary relationship between you and LedgerKit, its owners, or any affiliated accounting firm. Communications about a Pack — including support questions — are product support, not professional engagement, and are not privileged or confidential in a professional sense.

AI output is not verified

The Packs are instructions given to third-party artificial intelligence systems that we do not control. Those systems can produce output that is incomplete, inconsistent, or factually wrong, including output that appears authoritative. We do not review, verify, or guarantee any output any AI system produces when you use a Pack. You are responsible for reviewing all output before relying on it, filing anything based on it, or making any financial decision from it.

You remain responsible

You are solely responsible for the accuracy and completeness of your financial records, for any tax return you file, for any tax position you take, and for compliance with all applicable law. Penalties, interest, or losses arising from your use of a Pack are your responsibility.

Get a professional

We strongly recommend a licensed CPA, EA, or attorney review any material accounting or tax position before you act on it. The Packs are designed to identify situations that exceed their scope and to tell you to seek professional help. When a Pack tells you that, take it seriously. Circumstances warranting professional involvement include, without limitation: multi-state operations, foreign accounts or income, ownership or entity changes, significant asset dispositions, any IRS or state notice or examination, business combinations, and material cryptocurrency activity.

No guaranteed outcome

We make no representation that using a Pack will reduce your tax liability, produce accurate books, prevent errors, avoid penalties, or withstand examination. Time-savings figures shown on product pages are estimates based on our own experience and are not promises.

Ongoing improvement and edge cases

The Packs are actively maintained and generally improve over time. Each one is built around the fact patterns we encounter most often, and every revision widens what it handles well.

Even so, no Pack covers every situation. Businesses are idiosyncratic, and you may encounter a scenario a Pack does not address, addresses incompletely, or handles in a way that does not fit your circumstances. That is an expected limitation of a general-purpose tool, not a defect.

If you hit one of those cases, you may submit it online for assessment. Submissions are reviewed by a CPA or accountant from our firm, who may contact you with follow-up questions about the scenario. Where the case can be addressed, we extend the Pack to cover it and provide you with an updated version. Where the improvement is general enough to benefit other users, it is also included in a future release of that Pack, which you receive free during your update window.

What the deliverable is. The output of an edge-case assessment is an improved tool — a revised Pack — not an opinion, conclusion, or recommendation regarding your specific facts. Professional review of a submission is performed to determine how the Pack should be written, not to advise you on your situation.

What it is not. Submitting a case does not create an accountant–client, attorney–client, or fiduciary relationship. Nothing we send in response — including a revised Pack, follow-up questions, or correspondence — constitutes tax, legal, or accounting advice for your circumstances, and none of it may be relied upon as such. We do not assume responsibility for positions you take, entries you record, or returns you file. We do not commit to a turnaround time, to being able to address any particular case, or to responding at all. If you need advice on your own facts, that requires a separate professional engagement with a licensed practitioner, on separate terms.

Confidentiality. Because a submission is not a professional engagement, information you send is not covered by accountant–client privilege or confidentiality protections that would attach to an engagement. We may use anonymized, de-identified characteristics of submitted scenarios to improve the Packs for all users.

Do not include Social Security numbers, EINs, full account numbers, login credentials, or client personally identifiable information in a submission. Describe the scenario in general terms and redact identifying details before sending.

2. Terms of use & license

What you're buying

You are purchasing a limited, non-exclusive, non-transferable license to use the Packs. You are not purchasing ownership of the underlying content, which remains ours.

You may

You may not

Limitation of liability

To the maximum extent permitted by law, our total liability arising from or relating to the Packs is limited to the amount you paid for the specific Pack at issue. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, tax penalties, interest, professional fees incurred to correct errors, or business interruption — even if we were advised such damages were possible.

Provided "as is"

The Packs are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Third-party platforms

The Packs are designed for use with third-party AI services. We do not control those services and are not responsible for their availability, pricing, terms, data handling, or changes to how they work. A platform change may reduce or eliminate a Pack's effectiveness; we will revise Packs where practical during your update window, but we do not guarantee continued compatibility.

Changes

We may update these terms. Material changes will be posted here with a revised date. Continued use after a change constitutes acceptance.

3. Privacy

What we collect

Name and email address at purchase; payment confirmation details from our payment processor (we never see or store full card numbers); basic analytics about site usage; and any information you send us in a support message.

What we never receive

We do not receive your financial data. The Packs run inside your own AI account. Your bank statements, general ledger, tax returns, and client information go from you to your AI provider without passing through us. We have no access to them and no ability to retrieve them.

Your AI provider's terms govern that data

When you upload financial information to Claude, ChatGPT, or another AI service, that provider's privacy policy and data-retention terms apply. Consumer and business tiers often differ in whether your inputs may be used for model training. If you are handling client data, review your provider's settings and terms before uploading — and consider your own confidentiality obligations to those clients.

How we use what we do collect

To deliver your purchase, provide updates during your update window, answer support requests, and — if you opt in — send occasional product email. We do not sell your personal information. You can request deletion of your account information at any time by contacting us.

4. Refund policy

Packs are digital products delivered immediately on purchase. Once a Pack has been downloaded, it cannot be returned in any meaningful sense, so we do not offer unconditional refunds.

We will make it right if:

Contact us within 30 days of purchase with the order number and a description of the problem. Remedies may include replacement files, credit toward another Pack, or a refund, at our discretion and depending on the circumstances.

Refunds are not available because you changed your mind, because your AI produced output you disagreed with, or because the Pack correctly told you your situation requires a professional.
